About The Role
The successful candidate will be responsible for supporting the Legal Services team by performing junior corporate law clerk and administrative functions. Working closely with our two senior corporate law clerks and other professionals across the organization, you will be responsible for assisting in the preparation and maintenance of corporate records, coordinating internal processes, and performing routine administrative functions. Working as part of a dynamic and very collegial team, the ideal candidate should be creative, flexible and solution-oriented, with strong time management skills and focused on exceptional client service.
What You'll Do
- Assist with the maintenance of corporate records for various legal entities, including updating minute books and preparing a variety of documents and instruments such as organizational proceedings, directors and shareholder resolutions, and annual returns
- Prepare and submit various federal, provincial, and state filings in accordance with requirements
- Complete and file KYC/AML disclosures and supporting materials
- Facilitate the collection of information and the preparation of various internal reports
- Advance the transition from paper records to electronic record keeping
- Conduct research and assist with the development, improvement and maintenance of internal team processes
- Contribute to the development and maintenance of precedents and templates
- Liaise with internal business units such as Investment Teams, Tax, and Finance
- Support external counsel invoicing process
- As part of a dynamic team, undertake various ad-hoc projects
What You Bring
- Law Clerk diploma
- 1 to 5 years of relevant experience gained at a top-tier law firm or an internal legal department
- Current knowledge of corporate law requirements associated with maintenance of corporate records and appropriate filings (i.e., OBCA, CBCA, etc.)
- Familiarity with KYC/AML requirements and processes
- Demonstrated organizational, time management skills and attention to detail
- Team oriented with effective interpersonal skills
- Proficiency analytical and problem-solving skills
- A focus on exceptional client service
- A problem-solving and growth mindset; a willingness to be flexible, responsive, and take ownership of matters and files for which you are responsible
- Knowledge of online minute book software and document management databases (e.g., iManage, GEMS, or similar)
- Proficiency with common applications and online tools (i.e., MSWord, Excel, PowerPoint, SharePoint)
- Experience submitting e-file filings with various federal, provincial, and state registries is an asset
- Experience with project management and process improvement is an asset
- Experience working at a pension plan or other financial institution is not required but is an asset
