Join Osler’s growing Executive Compensation practice as a lawyer in our Toronto office. Executive compensation is a highly scrutinized and sensitive area and demand for expertise is growing. Unique to Canadian law firms, our group is able to provide a 360° perspective because our executive compensation expertise is bundled for clients and includes lawyers with cross-specialties in all relevant areas of law, including securities tax and employment law, corporate governance and pensions & benefits. We advise corporations and management teams on compensation matters relating to corporate transactions. We also advise organizations, both public and private and small to large, on Canadian and cross-border complex and day-to-day compensation issues.
Here are some examples of the work you’ll be doing:
- Working with clients on the design, implementation and ongoing compliance for compensation arrangements such as equity compensation plans, long-term incentive plans, transaction/retention bonuses;
- Drafting incentive compensation plans and award agreements and compensation-related policies (such as clawbacks, say on pay, share ownership guidelines);
- Advising on the treatment of executive compensation arrangements in connection with mergers and acquisitions, initial public offerings, restructurings and other transactions;
- Advising on approval requirements for new or revised compensation arrangements;
- Advising on securities laws aspects of executive compensation, including disclosure requirements, insider reporting requirements, and stock exchange requirements;
- Coordinating with specialists in tax, employment, corporate governance, pensions and benefits.
POSITION REQUIREMENTS:
The successful candidate will be called to the Ontario bar and have:
- A minimum of 2 to 4 years of general corporate and securities law experience;
- An interest or experience in executive compensation;
- Strong teamwork skills;
- Superior communication and drafting skills;
- Excellent academic credentials.
